Terms & Conditions – Prospexs Intelligence AB

These Terms & Conditions (“Terms”) govern access to and use of the Prospexs websites, platform, and related services (the “Service”) provided by Prospexs Intelligence AB, Stockholm, Sweden (“Prospexs”, “we”, “us”, “our”).

By accessing or using the Service, or by creating an account, clicking “accept”, signing an order form, or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and (if applicable) the organization you represent.

If you do not agree, do not use the Service.

1. Definitions

  • “Customer”: The company, organization, or sole trader subscribing to the Service.

  • “User”: An individual authorized by Customer to use the Service (e.g., employees, contractors).

  • “Order Form”: A document, online checkout, or agreement specifying subscription plan, fees, term, and usage limits.

  • “Customer Data”: Data Customer uploads, imports, submits, or otherwise makes available in the Service.

  • “Prospexs Data”: Data and content we provide through the Service, including business intelligence, insights, and lead/contact data sourced from public sources and third-party providers.

  • “Output”: Content generated via the Service (including AI/LLM-assisted text, summaries, and recommendations).

  • “Documentation”: User guides, knowledge base articles, and other documentation we provide.

2. Who may use the Service

2.1 Business use only. The Service is intended for professional/B2B use. By using it, you confirm you are using it in a business capacity.

2.2 Authority. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. “You” and “Customer” then refer to that organization.

2.3 Eligibility. Users must be at least 18 years old.

3. The Service

3.1 What we provide. Prospexs is a B2B sales matching and insights platform. The Service may include:

  • discovery of relevant companies and decision-makers,

  • insight compilation from publicly available sources,

  • contact data for leads from GDPR-compliant third-party providers,

  • AI/LLM-assisted drafting and summarization tools.

3.2 Changes. We may improve, update, or modify the Service from time to time, including adding/removing features. We will not materially reduce core functionality for paid plans during an active subscription without reasonable notice, except for security/legal reasons.

3.3 Beta features. Some features may be marked as beta/preview. These are provided “as is” and may change or be discontinued.

4. Accounts and security

4.1 Account creation. Customer must provide accurate and complete information and keep it updated.

4.2 Credentials. Customer is responsible for all activity under its accounts and for keeping credentials secure.

4.3 Unauthorized access. You must notify us promptly if you suspect unauthorized access or security breaches.

5. Subscription plans, credits, and usage

5.1 Plans and limits. Access is provided under the plan and limits described in the Order Form (e.g., seats/users, monthly credits, feature tiers, rate limits).

5.2 Credits (if applicable). Some plans use “credits” to generate or unlock certain outputs (e.g., lead analyses). Credits:

  • are non-refundable unless required by law,

  • may expire at the end of the billing cycle or term if stated in the Order Form,

  • may not be resold or transferred.

5.3 Overages. If usage exceeds plan limits, we may (a) restrict usage until the next cycle, (b) charge overage fees, or (c) require an upgrade—depending on what your Order Form states.

6. Fees, billing, and taxes

6.1 Fees. Customer will pay fees as stated in the Order Form.

6.2 Billing cycle. Fees are charged in advance unless otherwise stated.

6.3 Late payments. We may suspend access for overdue invoices after providing notice. Statutory interest and recovery fees may apply where allowed.

6.4 Taxes. Fees are exclusive of VAT and other taxes unless stated otherwise. Customer is responsible for applicable taxes, except taxes on Prospexs’ income.

7. Customer responsibilities

7.1 Lawful use. Customer and Users must use the Service in compliance with applicable laws and regulations, including marketing and privacy laws.

7.2 Your outreach and compliance. Customer is solely responsible for:

  • how it contacts leads and uses contact details,

  • ensuring a lawful basis for outreach (e.g., B2B legitimate interest),

  • compliance with GDPR/ePrivacy/marketing rules (e.g., opt-outs, suppression lists, local requirements).

7.3 Accuracy of data. Customer must ensure Customer Data is accurate and that it has the right to upload/import it.

8. Acceptable Use Policy

You must not (and must not allow others to):

  • use the Service for unlawful, deceptive, or fraudulent purposes;

  • violate privacy rights or send spam, including in violation of applicable marketing laws;

  • scrape, crawl, or harvest the Service (or attempt to extract underlying databases) except as explicitly permitted;

  • reverse engineer, decompile, or attempt to derive source code (except to the extent such restriction is prohibited by law);

  • interfere with the Service, security, or networks;

  • upload malware or harmful code;

  • circumvent usage limits, paywalls, or access controls;

  • use the Service to create or train a competing database, model, or service (except where explicitly agreed in writing);

  • use the Service to generate or disseminate unlawful content.

We may suspend or terminate access for violations.

9. Data sources, third-party providers, and AI/LLMs

9.1 Public sources. Parts of Prospexs Data and insights are compiled from publicly available information (e.g., company websites, public announcements, press).

9.2 Third-party data providers. We may provide business contact data (such as business email addresses and phone numbers) sourced from third-party providers that represent their services as GDPR-compliant. Prospexs does not guarantee that third-party data is complete, current, or error-free.

9.3 LLMs and AI features. We use a variety of Large Language Models (LLMs) and AI systems to generate Output such as summaries and draft messages. Output may be inaccurate or incomplete. Customer is responsible for verifying Output before use, especially in regulated or high-risk contexts.

9.4 No guarantee of results. We do not guarantee any specific sales outcome, conversion rate, response rate, or revenue result.

10. Intellectual property

10.1 Prospexs IP. The Service, Documentation, Prospexs Data, and all related intellectual property rights are owned by Prospexs and/or its licensors. No rights are granted except as expressly stated.

10.2 License to Customer. Subject to these Terms and payment of fees, Prospexs grants Customer a limited, non-exclusive, non-transferable, revocable license during the subscription term to access and use the Service for internal business purposes.

10.3 Customer Data. Customer retains ownership of Customer Data. Customer grants Prospexs a license to process Customer Data to provide, secure, and improve the Service, and as otherwise permitted in the Privacy Policy and DPA (if applicable).

10.4 Feedback. If you provide suggestions or feedback, you grant Prospexs the right to use it without restriction or compensation.

11. Confidentiality

11.1 Confidential Information. Each party may receive confidential information from the other. Confidential information includes non-public business, technical, product, security, pricing, and roadmap information.

11.2 Obligations. The receiving party will:

  • use confidential information only to perform under these Terms;

  • protect it using reasonable safeguards;

  • not disclose it except to employees/contractors who need to know and are bound by confidentiality.

11.3 Exclusions. Confidential information does not include information that is public through no breach, already known, independently developed, or received lawfully from a third party.

12. Data protection

12.1 Privacy Policy. Our processing of personal data as Controller is described in our Privacy Policy.

12.2 DPA. If Prospexs processes Customer Data as a Processor, the parties will enter into a Data Processing Agreement (DPA) where required.

12.3 Security. We implement appropriate technical and organizational security measures.

13. Term and termination

13.1 Term. These Terms start when you first use the Service and continue until your subscription ends or your account is terminated.

13.2 Termination for convenience. Subscription termination rules are as stated in the Order Form (e.g., non-cancellable during the committed term).

13.3 Termination for cause. Either party may terminate for material breach if not cured within [30] days of written notice. Prospexs may suspend or terminate immediately for serious misuse, security threats, or legal compliance reasons.

13.4 Effect of termination.

  • Access to the Service ends.

  • Outstanding fees remain due.

  • We will handle Customer Data in accordance with the DPA/Privacy Policy and our retention practices.

14. Availability and support

14.1 Availability. We aim to provide high availability, but the Service may experience interruptions, maintenance, or downtime.

14.2 Support. Support terms (channels, hours, response times) may be defined in your plan, Documentation, or Order Form.

15. Disclaimers

15.1 As-is. Except as expressly stated, the Service is provided “as is” and “as available”.

15.2 No warrazties. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

15.3 Data and output accuracy. Prospexs Data, third-party contact data, and AI-generated Output may be inaccurate, incomplete, or outdated.

16. Limitation of liability

16.1 No indirect damages. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.

16.2 Liability cap. To the maximum extent permitted by law, Prospexs’ total liability arising out of or related to the Service will not exceed the fees paid (or payable) by Customer to Prospexs for the Service in the 12 months preceding the event giving rise to the claim.

16.3 Exceptions. Nothing in these Terms limits liability that cannot be limited by law, such as liability for intent or gross negligence, or certain mandatory consumer protections (though the Service is business-facing).

17. Indemnification

17.1 Customer indemnity. Customer will defend and indemnify Prospexs from claims arising from:

  • Customer Data (including that Customer lacked rights to upload it),

  • Customer’s use of the Service in violation of law (e.g., unlawful outreach/spam),

  • Customer’s breach of these Terms.

17.2 Prospexs indemnity (optional).

[Optional clause if you want:] Prospexs will indemnify Customer against third-party claims that the Service infringes intellectual property rights, subject to exclusions and procedures.

(If you want this, tell me and I’ll add the standard SaaS IP indemnity package.)

18. Suspension

We may suspend access (in whole or part) if:

  • required by law or authority;

  • there is a security risk or suspected breach;

  • Customer is materially overdue on payments;

  • Customer violates the Acceptable Use Policy.

We will restore access when the issue is resolved.

19. Governing law and dispute resolution

19.1 Governing law. These Terms are governed by the laws of Sweden, without regard to conflict-of-law rules.

19.2 Courts. Any dispute arising out of or related to these Terms will be finally settled by the courts of Stockholm, Sweden, unless mandatory law provides otherwise.

20. Changes to the Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., by email or within the Service). Continued use after the effective date of the updated Terms constitutes acceptance.

21. Miscellaneous

  • Entire agreement. These Terms and the Order Form (and DPA, if applicable) form the entire agreement.

  • Severability. If any provision is invalid, the rest remains in force.

  • Assignment. Customer may not assign without our consent; we may assign in connection with a merger/acquisition.

  • Force majeure. Neither party is liable for delays caused by events beyond reasonable control.

  • Notices. Notices will be sent to the contact details in the Order Form or via email.
